Amrep, Inc. to Acquire Brands and Assets from Waterbury Companies Inc.

o Amrep to Simplify Supply Chain by Combining Operations at its Marietta, Georgia Facility.
o Establishes Position in the Farm / Agricultural Channels.

Marietta, Georgia, July 27, 2010 – Amrep, Inc., a leading producer of maintenance chemicals for the janitorial, MRO,and automotive markets, and Waterbury Companies, Inc a leader in air care delivery systems and products for facilitymaintenance, today announced they have signed a definitive asset purchase agreement pursuant to which Amrep willacquire brands and assets used by Waterbury in its North American operations.

“This acquisition emphasizes our commitment to the JanSan distribution community with increased brands, product andservice capability,” said Joe Seladi, President of Amrep Inc.

Amrep will add the TimeMist®, MicrobeMax™, TimeWick, and Touch Less Control™ brands to its’ offering thatincludes Misty®, Next Dimension®, and I-Chem® along with other Amrep proprietary brands.

“We are excited to offer our customers expanded product offerings in the air care, water conservation, and insect controlcategories by combining these companies,” commented Joe Seladi. “Our distributor partners will benefit from this combination as they will be able to source multiple product offerings from Amrep. “In the area of offering our customers sustainable product solutions, the low VOC offering of the passive TimeWick by TimeMist® air care system will compliment the low VOC products currently offered by Amrep in the Aspire® line of products,” Seladi concluded.

This acquisition provides Amrep with not only product capability, but access to the Farm and Agricultural channels via the Country Vet® brand designed for insect and odor control products.

The transaction is expected to close in the next few weeks. The closing of the transaction is subject to expiration of the applicable waiting period pursuant to the Hart-Scott-Rodino Antitrust Improvements Act and other customary closingconditions.
